1. Agreement to these Terms

These Terms of Use (“Terms”) govern your access to and use of the website located at besolutions.io (the “Site”), operated by Back End Solutions LLC (“BES,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. About the Site

The Site is an informational and marketing website that describes BES’s financial, accounting, fractional CFO, and back-office business services (the “Services”). The Site does not itself provide the Services, process payments, host client accounts, or offer client portals.

3. Not Professional Advice; No Relationship Formed

All content on the Site is provided for general informational purposes only and does not constitute accounting, tax, financial, investment, or legal advice. Nothing on the Site, and no submission you make through the Site, creates a client, advisory, fiduciary, or other professional relationship between you and BES. A professional relationship is formed only upon a written engagement agreement signed by BES. Do not act on any Site content without obtaining advice from a qualified professional regarding your specific situation.

4. Eligibility; Business Use

The Site is intended for business owners, operators, and representatives acting in a commercial capacity, and for individuals who are at least 18 years old. The Site is not directed to consumers acting in a personal capacity or to children. Do not use or access this Site if you are not at least 18 years old.

5. Privacy

Our collection and use of information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge the Privacy Policy.

6. Contact Submissions

If you submit information through the Site’s “Contact Us” form, you represent that the information is accurate and that you are authorized to provide it on behalf of yourself or your organization. Please do not submit confidential, sensitive, financial, or tax information through the form. Submitting the form does not obligate BES to respond or to provide any Services.

7. Your Submissions and Feedback

Any comments, questions, suggestions, or other material you send us through the Site (other than personal information covered by our Privacy Policy) are treated as non-confidential. You grant BES a non-exclusive, royalty-free, perpetual, worldwide license to use, copy, and act on that material for any lawful business purpose without owing you anything. Please do not send us confidential or proprietary ideas you expect us to keep secret or pay for.

8. Acceptable Use

  • (a) use the Site for any unlawful purpose;
  • (b) attempt to gain unauthorized access to the Site, BES, or its systems;
  • (c) interfere with or disrupt the Site;
  • (d) use any automated means to scrape, harvest, or collect data from the Site;
  • (e) submit false, misleading, illegal, infringing, or harmful content; or
  • (f) copy, reproduce, or republish Site content except as allowed by these Terms.

9. Intellectual Property

The Site and its content — including text, graphics, logos, and the “Back End Solutions” and “BES” names and marks — are owned by BES or its licensors and are protected by U.S. intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to view the Site for your internal business evaluation purposes. All other rights are reserved. You may not use our names or marks without our prior written permission.

We respect intellectual property rights. If you believe content on the Site infringes your copyright, please contact us at the address below with: a description of the work, the location of the material on the Site, your contact information, and a statement that you believe the use is unauthorized. We will review and respond appropriately, including removing infringing material where warranted.

The Site may contain links to third-party websites. We do not control and are not responsible for third-party sites or their content, and links do not imply our endorsement.

By using the Site or contacting us through it, you consent to receive communications from us electronically, and you agree that electronic communications, agreements, and notices satisfy any legal requirement that they be in writing. THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY SITE CONTENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BES AND ITS MEMBERS, MANAGERS, OFFICERS, REPRESENTATIVES, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. BES’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless BES and its members, managers, representatives, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.

17. Suspension and Termination of Access

We may limit, suspend, or end your access to the Site at any time, with or without notice, if we believe you have violated these Terms or to protect the Site. Sections that by their nature should survive (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) survive any termination.

18. Changes to the Site and Terms

We may modify or discontinue the Site at any time. We may update these Terms from time to time; the “Effective Date” reflects the most recent version. Your continued use of or access to the Site after changes become effective constitutes acceptance of the revised Terms.

19. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Virginia, and you consent to their jurisdiction.

20. Dispute Resolution; Jury Waiver; Time Limit

Before starting any legal action, you agree to first contact us and try in good faith to resolve the dispute informally for at least thirty (30) days. To the extent allowed by law, each party waives any right to a jury trial in any dispute relating to the Site or these Terms. Any claim relating to the Site or these Terms must be brought within one (1) year after it arises, or it is permanently barred.

21. General

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a sale of our business. These Terms, together with the Privacy Policy, are the entire agreement between you and BES regarding the Site.
